Music License Agreement

This Gospel Music License Agreement (“Agreement”) is made and entered into as of 27/07/2023, between Joan Wairimu (“Licensor”) and Music Purchasor (“Licensee”).

Background:

Joan Wairimu is an esteemed gospel artist and owns the copyright to her soul-stirring gospel songs (the “Songs”).

The Music Purchaser desires to obtain a license to use the Songs for the purposes specified herein, and Joan Wairimu graciously agrees to grant such a license subject to the terms of Use of this Agreement.

License Grant:

Subject to the terms and conditions of this Agreement, Joan Wairimu hereby grants Music Purchaser the following licenses to use the Songs:

1. Personal License:
   • Number of End Products: 1
   • Download Limit: 10
   • Download Expiry: Never
   • Permitted Use: Music Purchaser may use the Songs solely for personal enjoyment and non-commercial purposes. This encompasses the privilege to savor and delight in the Songs in private settings, ensuring spiritual upliftment and personal solace.
2. Private License:
   • Number of End Products: 1
   • Download Limit: 100
   • Download Expiry: Never
   • TV/Radio Broadcast, Broadcast Advertising, and Online Equivalents: Up to 10 million audience size
   • Permitted Use: Music Purchaser may use the Songs for private and non-commercial purposes. This extends to incorporating the Songs into heartening TV/radio broadcasts, broadcast advertisements, and online equivalents, captivating an audience size of up to 10 million.
3. Commercial License:
   • Number of End Products: 1
   • Download Limit: Unlimited
   • Download Expiry: Never
   • TV/Radio Broadcast, Broadcast Advertising, and Online Equivalents: Unlimited audience size
   • Permitted Use: Music Purchaser may use the Songs for awe-inspiring commercial purposes, inclusive of compelling TV/radio broadcasts, broadcast advertisements, and online equivalents, transcending all limitations on the audience size.

Prohibited Uses:

Music Purchaser is conscientiously prohibited from using the Songs for the following purposes:

1. Distribution or Resale: Music Purchaser shall refrain from distributing, reselling, or sublicensing the Songs to third parties, whether for profit or otherwise.
2. Modification and Derivative Works: Music Purchaser shall abstain from modifying, adapting, remixing, or creating derivative works based on the Songs without Joan Wairimu’s explicit written permission.

Ownership and Attribution:

Joan Wairimu retains all rights, title, and interest in and to the Songs, and this Agreement graciously does not transfer any ownership rights to Music Purchaser. Music Purchaser shall wholeheartedly give proper attribution to Joan Wairimu whenever the Songs are used as follows: “[Song Title] by Joan Wairimu. Used under license.”

Term and Termination:

This Agreement shall commence on the Effective Date and shall continue to resonate until terminated by either party. Either party may bid farewell to this Agreement at any time with written notice to the other party. Upon termination, Music Purchaser shall lovingly cease all use of the Songs.

Governing Law and Jurisdiction:

This Agreement shall be harmoniously governed by and construed in accordance with the laws of Canada/Kenya, without missing a beat of its conflicts of laws principles. Any harmonious disputes arising under or in connection with this Agreement shall be sweetly subject to the exclusive jurisdiction of the courts located in the Country/State.

Entire Agreement:

This divine Agreement constitutes the whole harmonious understanding between the parties concerning the melodious subject matter hereof and jubilantly supersedes all prior and contemporaneous agreements, whether oral or written.

By accessing and enjoying the Songs offered by Joan Wairimu on Queens Ministry International (https://queensministryintl.org/), Music Purchaser acknowledges their unwavering understanding, acceptance, and harmonious agreement to be divinely bound by the terms and conditions of this Music License Agreement.
